1. Introduction and Acceptance

Welcome to Gardenz (“Gardenz,” the “App,” “we,” “us,” or “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and WEBNUM LLC, a limited liability company registered in the Republic of Uzbekistan with its principal place of business in Tashkent, Uzbekistan.

These Terms govern your access to and use of the Gardenz mobile application, including all features, content, functionality, and services offered through Gardenz on iOS and Android devices.

By downloading, installing, accessing, or using Gardenz, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use Gardenz and must uninstall the App from your device immediately.

2. Eligibility

To use Gardenz, you must:

Be at least 13 years of age (or 16 years of age if you reside in the European Economic Area or United Kingdom).
If you are a minor (below the age of majority in your jurisdiction), have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
Have the legal capacity to enter into a binding contract in your jurisdiction.
Not be barred from using the App under applicable laws or prior termination by WEBNUM LLC.

By using Gardenz, you represent and warrant that you meet all of the eligibility requirements above. If you do not meet these requirements, you must not use Gardenz.

3. Description of the Service

Gardenz is a mobile gardening and garden planner application designed to help users plan, track, and manage their home gardens, balcony gardens, and indoor plants. Gardenz includes, but is not limited to, the following features:

3.1 Core Features (Free Tier)

Garden Planner: Create virtual garden layouts using a grid-based planning system.
Plants Tracker: Track your plants’ growth stages from seed to harvest.
Today Task: Daily gardening tasks and reminders.
Weather Integration: Location-based weather information and gardening recommendations.
Explore Tab: Access to seasonal guides, tips for gardeners, and gardening articles.
User Profile: Personal garden statistics, achievements, and day-streak tracking.

3.2 Premium Features (Gardenz PRO)

Gardener AI Assistant: AI-powered gardening advice and plant care guidance.
Unlimited Gardens and Plants: Remove limits on garden and plant entries.
Advanced Planning Tools: Expanded planning features and analytics.
Ad-Free Experience: Removal of third-party advertisements.
Additional premium features that may be added over time.

3.3 Service Availability

Gardenz is provided on an “as available” basis. We may modify, suspend, discontinue, or add features at any time, with or without notice. We make no guarantee of uninterrupted, error-free, or continuous availability of the App.

4. Account Registration and Security

4.1 Account Creation

To access certain features of Gardenz, you may need to create a user account. When creating an account, you agree to:

Provide accurate, current, and complete information.
Maintain and promptly update your information to keep it accurate, current, and complete.
Choose a username that does not violate these Terms or the rights of others.
Not impersonate any person or entity.

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials (username, password, or authentication tokens).
All activities that occur under your account.
Promptly notifying us at info@webnum.com of any unauthorized access, security breach, or suspicious activity.

WEBNUM LLC is not liable for any loss or damage arising from your failure to maintain account security.

4.3 One Account Per User

Each user may maintain only one Gardenz account. Creating multiple accounts to circumvent restrictions, abuse promotions, or evade suspensions is prohibited.

5. Subscription Terms (Gardenz PRO)

5.1 Subscription Plans

Gardenz offers premium subscription plans (“Gardenz PRO”) that unlock additional features. Subscription pricing, billing frequency (monthly, annual, or lifetime where offered), and features are displayed within the App before purchase.

5.2 Payment Processing

All subscription purchases are processed by Apple App Store (for iOS users) or Google Play Store (for Android users). WEBNUM LLC does not directly receive or store your payment card information. Your purchase is governed by the terms of the respective App Store in addition to these Terms.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless auto-renewal is turned off at least 24 hours before the end of the current period.
Your Apple or Google account will be charged for renewal within 24 hours prior to the end of the current period at the price of the selected subscription.
You can manage subscriptions and disable auto-renewal through your Apple ID or Google Play account settings at any time.

5.4 Free Trials

If we offer a free trial period, the trial automatically converts to a paid subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited upon purchase of a subscription.

5.5 Refunds

Apple App Store: Refund requests must be submitted directly to Apple through reportaproblem.apple.com. We do not have the ability to issue refunds for App Store purchases.
Google Play Store: Refund requests must be submitted through Google Play. Google handles all refund processing for Play Store purchases.
All sales are final unless otherwise required by applicable consumer protection laws.

5.6 Price Changes

We may change subscription prices at any time. Price changes for existing subscribers will take effect at the next renewal period and will be communicated in advance as required by applicable law and App Store policies. Continued use of the paid service after a price change constitutes acceptance of the new price.

5.7 Cancellation

You may cancel your subscription at any time through your Apple ID or Google Play account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to premium features until that date. No partial refunds are provided for unused portions of a billing period unless required by law.

6. Acceptable Use and Prohibited Conduct

6.1 Acceptable Use

You agree to use Gardenz only for lawful purposes and in accordance with these Terms. You are responsible for all activity conducted through your account.

6.2 Prohibited Conduct

You agree NOT to:

Use Gardenz in any way that violates applicable local, national, or international laws or regulations.
Use Gardenz to engage in any fraudulent, deceptive, harmful, or illegal activity.
Attempt to gain unauthorized access to Gardenz, other users’ accounts, or any servers, systems, or networks connected to the App.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Gardenz, except where expressly permitted by applicable law.
Copy, modify, distribute, sell, lease, sublicense, or create derivative works of Gardenz or any portion thereof.
Use automated means (bots, scrapers, crawlers) to access, collect data from, or interact with Gardenz.
Introduce viruses, malware, worms, trojans, or any other malicious code into Gardenz.
Interfere with or disrupt the integrity or performance of Gardenz or the data contained therein.
Use Gardenz to transmit spam, harass, threaten, stalk, or harm any person.
Upload, submit, or transmit any content that is unlawful, infringing, defamatory, obscene, or violates the rights of others.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Bypass, attempt to bypass, or manipulate any security features, access controls, subscription limits, or content restrictions.
Use Gardenz to process, store, or transmit sensitive personal information of third parties without authorization.
Resell, republish, or redistribute Gardenz content or features without our express written consent.

6.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of these Terms, including but not limited to: issuing warnings, suspending or terminating accounts, removing content, pursuing legal remedies, and reporting violations to law enforcement.

7. User Content

7.1 Your Content

When you use Gardenz, you may provide, create, or upload content such as garden layouts, plant records, personal notes, tasks, photos (if applicable), and messages to the Gardener AI assistant (“User Content”).

7.2 Ownership of User Content

You retain all ownership rights to your User Content. We do not claim ownership of your personal garden data, notes, or AI interactions.

7.3 License Grant to WEBNUM LLC

By providing User Content to Gardenz, you grant WEBNUM LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, store, process, display, and distribute your User Content solely for the purposes of:

Providing, maintaining, and improving the Gardenz service.
Syncing your data across your devices.
Backing up your data to prevent loss.
Operating features such as the Gardener AI assistant.
Complying with legal obligations.

This license continues for as long as your User Content is stored in Gardenz and ends when you delete the content or your account, except where retention is required for legal, regulatory, or security purposes.

7.4 Responsibility for User Content

You are solely responsible for your User Content and the consequences of providing it through Gardenz. You represent and warrant that:

You own or have the necessary rights to all User Content you provide.
Your User Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights).
Your User Content does not violate any applicable laws or these Terms.

7.5 Content Removal

We reserve the right (but not the obligation) to review, monitor, or remove User Content that violates these Terms or is otherwise objectionable. We are not responsible for any User Content provided by you or other users.

8. Gardener AI Assistant — Special Terms

The Gardener AI Assistant is an artificial intelligence-powered feature that provides gardening advice, plant care guidance, and responses to your questions. By using this feature, you acknowledge and agree to the following:

8.1 AI-Generated Content Disclaimer

Responses from the Gardener AI Assistant are automatically generated using artificial intelligence and machine learning models.
AI responses may contain inaccuracies, outdated information, errors, or incomplete guidance.
AI responses are for informational purposes only and do not constitute professional horticultural, agricultural, medical, veterinary, or legal advice.

8.2 User Verification and Responsibility

You are responsible for independently verifying any information provided by the AI before acting on it.
Never rely solely on AI recommendations for decisions that may affect:
- Human health (plant toxicity, allergies, edibility)
- Animal health (pet safety around plants)
- Pesticide, herbicide, or chemical application
- Structural decisions (soil remediation, major landscaping)

8.3 Not a Substitute for Professional Advice

The Gardener AI Assistant is not a substitute for consultation with qualified horticulturists, agronomists, veterinarians, medical professionals, or legal advisors. For important decisions, consult a licensed professional in the relevant field.

8.4 Data Processing

Your queries to the Gardener AI Assistant may be processed through third-party AI service providers. Do not include sensitive personal information, financial data, health records, government identification, or confidential third-party information in your queries.

8.5 Limitation of Liability for AI Features

To the maximum extent permitted by law, WEBNUM LLC disclaims any liability for:

Plant damage, death, or failure resulting from following AI advice.
Health consequences (human or animal) from AI recommendations.
Financial losses resulting from AI-provided information.
Any other damages arising from use of the Gardener AI Assistant.

9. Intellectual Property Rights

9.1 Ownership

All content, features, functionality, design, text, graphics, logos, icons, images, audio, video, software, and any other materials that are part of Gardenz (collectively, “WEBNUM Content”) are owned by WEBNUM LLC or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, WEBNUM LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use Gardenz for your personal, non-commercial use on devices you own or control.

9.3 Restrictions

You may not:

Use WEBNUM Content outside of Gardenz without our express written permission.
Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
Use our trademarks, logos, or branding without prior written authorization.
Create derivative works based on WEBNUM Content.

9.4 Trademarks

“Gardenz,” the Gardenz logo, “WEBNUM,” and related trademarks and service marks are the property of WEBNUM LLC. All other trademarks, service marks, and logos used in Gardenz are the property of their respective owners.

9.5 DMCA and Copyright Infringement

If you believe that any content on Gardenz infringes your copyright, please send a notice to info@webnum.com with the following information:

Your contact information (name, address, email, phone).
Description of the copyrighted work claimed to have been infringed.
Description of where the allegedly infringing material is located on Gardenz.
A statement that you have a good faith belief that the use is not authorized by the copyright owner.
A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
Your electronic or physical signature.

10. Third-Party Services, Content, and Advertising

10.1 Third-Party Services

Gardenz may integrate with or link to third-party services, including (but not limited to): Apple App Store, Google Play Store, weather data providers, AI service providers, analytics tools, and advertising networks (such as Google AdMob).

Your use of such third-party services is subject to their respective terms and privacy policies. WEBNUM LLC is not responsible for the content, privacy practices, or performance of third-party services.

10.2 Advertising (Free Tier)

The free version of Gardenz may display advertisements from third-party advertising networks. WEBNUM LLC does not endorse, guarantee, or assume responsibility for any products or services advertised. Clicking ads may redirect you to third-party websites or services governed by their own terms.

10.3 Third-Party Links

Gardenz may contain links to third-party websites or resources. Such links are provided for convenience only. WEBNUM LLC has no control over and is not responsible for the content, accuracy, or availability of such external resources.

11. Updates, Modifications, and Discontinuation

11.1 App Updates

We may release updates, patches, new features, and modifications to Gardenz at any time. Updates may be required for continued use of the App. We reserve the right to:

Add, remove, or modify features without prior notice.
Require updates to maintain compatibility with operating systems or for security reasons.
Discontinue support for older versions of the App.

11.2 Service Discontinuation

We reserve the right to discontinue Gardenz, any feature of Gardenz, or any subscription plan at any time. If we discontinue a paid service, we will provide reasonable advance notice and, where applicable, pro-rated refunds for unused subscription periods as required by law.

11.3 Modifications to These Terms

We may revise these Terms from time to time. When we make material changes:

We will update the “Last Updated” date at the top of these Terms.
We will notify you through the App (via in-app notification or banner) or by email.
For significant changes, we will provide at least 30 days’ advance notice before the changes take effect.

Your continued use of Gardenz after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using Gardenz and uninstall the App.

12. Disclaimers and Warranties

12.1 “AS IS” and “AS AVAILABLE”

GARDENZ IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBNUM LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that Gardenz will meet your requirements or expectations.
Warranties of uninterrupted, timely, secure, or error-free operation.
Warranties regarding the accuracy, reliability, or completeness of any content, including AI-generated advice, weather data, planting calendars, or gardening information.
Warranties that defects will be corrected or that Gardenz is free of viruses or harmful components.

12.2 Gardening Outcomes Disclaimer

WEBNUM LLC does not guarantee any specific gardening outcomes, including (but not limited to):

Successful plant germination, growth, or harvest.
Accuracy of planting calendars for your specific microclimate.
Absence of pests, diseases, or weather-related damage.
Suitability of recommended plants for your environment.

Gardening involves many factors beyond our control, and your results may vary based on local conditions, care practices, weather, and other variables.

12.3 No Professional Advice

Content provided through Gardenz (including articles, seasonal guides, Gardener AI responses, and tips) is for general informational and educational purposes only and does not constitute professional advice. Always consult qualified professionals for specific concerns.

13. Limitation of Liability

13.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBNUM LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or personal injury.
Damages arising from your use or inability to use Gardenz.
Damages arising from unauthorized access to or alteration of your User Content.
Damages resulting from reliance on information obtained through Gardenz (including AI responses, weather data, or gardening recommendations).
Plant damage, death, loss of harvest, or property damage.
Damages caused by any third-party service, content, or advertisement.

13.2 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF WEBNUM LLC TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF GARDENZ SHALL NOT EXCEED THE GREATER OF:

The total amount you paid to WEBNUM LLC for Gardenz in the twelve (12) months preceding the event giving rise to the claim, OR
Fifty U.S. Dollars (USD $50).

13.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law, and our liability shall be limited to the maximum extent permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless WEBNUM LLC, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

Your use or misuse of Gardenz.
Your violation of these Terms.
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
Your User Content.
Your violation of any applicable laws or regulations.
Any action or inaction taken by you based on information obtained through Gardenz (including AI recommendations).

This indemnification obligation will survive termination of these Terms and your use of Gardenz.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

Deleting your account through the App settings (if available).
Contacting us at info@webnum.com to request account deletion.
Uninstalling Gardenz from your device.

15.2 Termination by Us

We reserve the right to suspend, restrict, or terminate your access to Gardenz at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms.
Fraudulent, abusive, or illegal activity.
Extended periods of account inactivity.
Discontinuation of the service.
Non-payment of subscription fees.
Risk to other users, WEBNUM LLC, or third parties.

15.3 Effect of Termination

Upon termination:

Your right to access and use Gardenz ceases immediately.
We may delete your account and User Content in accordance with our Privacy Policy and data retention schedule.
Active subscriptions will not be refunded except where required by law.
Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan, without regard to its conflict of law principles. Where you reside in a jurisdiction with mandatory consumer protection laws, those laws may also apply to you to the extent required.

16.2 Jurisdiction and Venue

Any disputes arising out of or relating to these Terms or your use of Gardenz shall be resolved in the competent courts of Tashkent, Uzbekistan, and you consent to the personal jurisdiction of such courts, except where mandatory consumer protection laws require otherwise.

16.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at info@webnum.com to attempt to resolve the dispute informally. We will make a good faith effort to resolve your concern within 60 days of receiving your notice.

16.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16.5 Time Limitation

Any claim arising out of or related to these Terms or Gardenz must be filed within one (1) year after the cause of action arises, or such claim is permanently barred, except where longer limitation periods are required by applicable law.

17. Apple-Specific Terms (iOS Users)

If you use Gardenz on an iOS device, the following additional terms apply between you, WEBNUM LLC, and Apple Inc. (“Apple”):

17.1 Acknowledgment

These Terms are between you and WEBNUM LLC only, and not with Apple. Apple is not responsible for Gardenz or its content.

17.2 Scope of License

The license granted to you for Gardenz is limited to a non-transferable license to use Gardenz on any Apple-branded device that you own or control, and as permitted by the Apple Media Services Terms.

17.3 Maintenance and Support

WEBNUM LLC is solely responsible for providing any maintenance and support services for Gardenz. Apple has no obligation to provide any maintenance or support services.

17.4 Warranty

In the event of any failure of Gardenz to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) paid to Apple for Gardenz. To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to Gardenz.

17.5 Product Claims

WEBNUM LLC, not Apple, is responsible for addressing any claims relating to Gardenz, including (but not limited to): product liability claims, claims that Gardenz fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.

17.6 Intellectual Property Claims

In the event of any third-party claim that Gardenz or your use of Gardenz infringes that third party’s intellectual property rights, WEBNUM LLC (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of such claim.

17.7 Third-Party Beneficiary

Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17.8 Compliance with Laws

You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

18. Google-Specific Terms (Android Users)

If you downloaded Gardenz from the Google Play Store, your use of Gardenz is also governed by the Google Play Terms of Service. In case of conflict between these Terms and the Google Play Terms of Service regarding the download and installation of Gardenz, the Google Play Terms of Service shall prevail for those specific matters.

19. Export Controls and Sanctions

Gardenz may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export laws and restrictions, including those of the Republic of Uzbekistan, the United States, the European Union, and any other relevant jurisdiction.

You represent and warrant that you are not:

Located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country.
Listed on any U.S. Government, EU, or UN list of prohibited or restricted parties.
Using Gardenz for any purpose prohibited by applicable sanctions or export laws.

20. Consumer Rights

If you are a consumer residing in the European Economic Area, United Kingdom, or another jurisdiction with mandatory consumer protection laws, nothing in these Terms is intended to limit your statutory consumer rights. In case of conflict between these Terms and mandatory consumer protection laws in your jurisdiction, the mandatory laws shall prevail.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WEBNUM LLC regarding Gardenz and supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and WEBNUM LLC.

21.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

21.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by WEBNUM LLC. Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

21.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. WEBNUM LLC may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

21.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and WEBNUM LLC.

21.6 Force Majeure

WEBNUM LLC shall not be liable for any failure or delay in performance under these Terms resulting from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, labor disputes, internet outages, cyber-attacks, power failures, or failures of third-party service providers.

21.7 Headings and Interpretation

Section headings in these Terms are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. “Including” means “including without limitation.”

21.8 Language

These Terms are drafted in English. If these Terms are translated into any other language and there is a conflict between versions, the English version shall prevail to the extent permitted by applicable law.

21.9 Electronic Communications

You consent to receive communications from us electronically, including via email, in-app notifications, or through Gardenz. Such electronic communications satisfy any legal requirement that communications be in writing.

23. Acknowledgment

By downloading, installing, or using Gardenz, you acknowledge that:

You have read, understood, and agree to be bound by these Terms of Use.
